Welcome to UpFlow! These Terms and Conditions ("Terms") govern your use of the UpFlow mobile application and any related services (collectively, the "Service") provided by NorthMesa Inc. ("we," "us," or "our").
By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
To use UpFlow, you must create an account. You agree to provide accurate, current, and complete information during the registration process, including your date of birth where requested. By creating an account, you confirm that you are at least 18 years old. You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You agree not to use the Service for any purpose that is illegal or prohibited by these Terms. You are responsible for your conduct and any data, text, information, usernames, graphics, photos, profiles, and links ("Content") that you submit, post, and display on the Service.
Prohibited activities include, but are not limited to:
Your privacy is important to us. By using our Service and tapping "Sign Up," you provide explicit consent for us to collect and use personal information in accordance with these Terms. We collect: profile information you provide, including your date of birth; usage data; push notification tokens; approximate location (when you grant permission); and network/device metadata such as local IP (and public IP if enabled), device model/OS/type, and locale/time zone. We use this data to create and secure your account, confirm eligibility for access to the Service, prevent fraud/abuse, operate the Service, comply with legal obligations, and improve the Service. We do not collect device MAC addresses.
Your data may be processed and stored using third-party database, storage, and hosting infrastructure, and may be transferred to and stored in Canada, the United States, or other regions where our service providers operate, subject to appropriate safeguards.
You may withdraw consent at any time by deleting the app and discontinuing use of the Service.
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of NorthMesa Inc. and its licensors. The UpFlow name and logo are trademarks of NorthMesa Inc. and may not be copied, imitated, or used, in whole or in part, without our prior written permission.
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account at any time by discontinuing your use of the Service.
YOU ARE SOLELY RESPONSIBLE FOR YOUR ACCOUNT, YOUR USE OF THE SERVICE, YOUR INTERACTIONS WITH OTHER USERS, AND ANY CONTENT THAT YOU SUBMIT, POST, OR MAKE AVAILABLE THROUGH THE SERVICE.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NORTHMESA WILL USE COMMERCIALLY REASONABLE EFFORTS TO OPERATE, MAINTAIN, AND SECURE THE SERVICE, BUT TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NORTHMESA INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, RELIABILITY, OR ERROR-FREE OPERATION.
NORTHMESA DOES NOT ACCEPT RESPONSIBILITY OR LIABILITY FOR USER MISUSE, USER-GENERATED CONTENT, DISPUTES BETWEEN USERS, OUTAGES, BUGS, DATA LOSS, THIRD-PARTY FAILURES, OR SECURITY INCIDENTS ARISING OUTSIDE OF NORTHMESA'S REASONABLE CONTROL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHMESA INC., ITS DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM OR RELATING TO YOUR ACCESS TO, USE OF, INABILITY TO USE, OR RELIANCE ON THE SERVICE.
NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
